End User License Agreement (EULA)

This End User License Agreement (“Agreement”) is a legal agreement between you (“Licensee,” “you,” or “your”) and 945 Ventures LLC DBA SyteWide (“Licensor,” “we,” “us,” or “our”) governing your use of the software product identified in your purchase confirmation, including any related files, documentation, and updates (collectively, the “Software”). This Agreement applies to all software products sold by SyteWide, including but not limited to SyteHero, SyteOps, and Trustily.

By purchasing, downloading, installing, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to these terms, do not purchase, download, install, or use the Software.

1. Grant of License

Subject to the terms of this Agreement and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on the number of installations or environments specified by your purchased plan (“License”).

The specific number of permitted activations, subscription duration, and support entitlements are determined by the plan you select at the time of purchase and are described on the product’s pricing page at https://sytewide.com. Your purchase confirmation will specify the plan terms that apply to your License.

You may use the Software for any lawful purpose, including personal and commercial use, subject to the restrictions set forth in this Agreement.

2. License Types

We offer several License types, including but not limited to:

• Subscription Plans: Monthly or annual recurring licenses that remain active for the duration of your paid subscription period. Your License renews automatically unless cancelled.
• Multi-Site / Multi-Environment Plans: Licenses that permit activation on more than one installation or environment, as specified by your plan.
• Lifetime Plans: One-time purchase licenses that include updates and support for the lifetime of the Software product, subject to Section 7 below.

The specific terms of your License, including the number of permitted activations and the duration of updates and support, are governed by the plan you purchase.

3. License Restrictions

You may NOT:

• Redistribute the Software in whole or in part, whether in its original form or modified, free of charge or for a fee;
• Resell, sublicense, lease, rent, or lend the Software or your License key to any third party;
• Share your License key with anyone outside your organisation or make it publicly available;
• Use the Software on more installations or environments than permitted by your purchased plan;
• Remove or alter any proprietary notices, labels, trademarks, or branding contained in the Software;
• Use the Software to create a competing product or service;
• Reverse engineer, decompile, or disassemble the Software, except to the extent expressly permitted by applicable law.

4. Permitted Modifications

Where the Software includes accessible source code, you may modify it solely for your own use on installation(s) or environment(s) covered by your License. You may not distribute, publish, or share any modified version of the Software. Modified installations remain subject to all terms of this Agreement.

We are not obligated to provide support for modified installations of the Software.

5. License Keys and Activation

Each License includes one or more license keys tied to your purchase. License keys are confidential and must not be shared, published, or transferred. We reserve the right to deactivate license keys that are found to be shared, abused, or used in violation of this Agreement.

You may deactivate and reactivate your License on different installations, provided the total number of concurrent activations does not exceed the limit specified by your plan.

6. Intellectual Property

The Software is the intellectual property of 945 Ventures LLC DBA SyteWide and is protected by applicable copyright, trademark, and other intellectual property laws. This Agreement grants you a limited license to use the Software — it does not transfer any ownership rights.

All rights not expressly granted in this Agreement are reserved by the Licensor.

7. Updates and Support

Your License may include access to Software updates and technical support, as specified by your purchased plan.

• Subscription Plans: Updates and support are provided for the duration of your active subscription. If your subscription expires or is cancelled, you may continue to use the last version of the Software installed, but you will no longer receive updates or support.
• Lifetime Plans: Updates and support are provided for the commercially active lifetime of the Software product. “Commercially active lifetime” means the period during which we actively develop, maintain, and distribute the Software. If we discontinue the Software, we will provide reasonable advance notice.

We reserve the right to modify the scope of updates and support at any time, provided that changes do not materially diminish the support level promised at the time of your purchase.

8. Refunds

Refund requests are governed by our Refund Policy, available at https://sytewide.com/refund-policy/. Upon issuance of a refund, your License is immediately terminated and you must uninstall and delete all copies of the Software.

9. Termination

This Agreement is effective until terminated.

Termination by you: You may terminate this Agreement at any time by uninstalling the Software and destroying all copies in your possession.

Termination by us: We may terminate this Agreement immediately and without notice if you breach any term of this Agreement, including but not limited to unauthorized redistribution, license key sharing, or exceeding your permitted activations.

Upon termination, you must immediately cease all use of the Software and delete all copies from your installations. Termination does not entitle you to a refund except as provided in our Refund Policy.

10. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ALL THIRD-PARTY PLATFORMS, THEMES, PLUGINS, EXTENSIONS, OR HOSTING ENVIRONMENTS. YOU ASSUME ALL RISK ASSOCIATED WITH THE INSTALLATION AND USE OF THE SOFTWARE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL 945 VENTURES LLC DBA SYTEWIDE, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SOFTWARE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Third-Party Components

The Software may include third-party open-source libraries or components. Attribution details and applicable license texts for any such components are included within the Software’s distribution package. Your use of these components is governed by their respective licenses.

13. Data Collection

The Software may communicate with our servers for the purposes of license validation and update delivery. For details on how we collect and process your data, please refer to our Privacy Policy at https://sytewide.com/privacy-policy/.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Michigan, United States of America, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in Michigan.

15. Severability

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

This Agreement, together with your purchase confirmation, our Refund Policy, Privacy Policy, and Terms and Conditions (available at https://sytewide.com), constitutes the entire agreement between you and 945 Ventures LLC DBA SyteWide with respect to the Software and supersedes all prior negotiations, representations, or agreements relating to this subject matter.

17. Amendments

We reserve the right to modify this Agreement at any time by posting the updated version at https://sytewide.com/eula/. Changes will take effect immediately upon posting. Your continued use of the Software after any changes constitutes your acceptance of the revised Agreement.
